Team – Group Company Secretarial Department
Working Pattern - Hybrid – 2 days per week in the Vitality London Office. Full time, 37.5 hours per week.

What this role is all about:
In this role you’ll provide expert company secretarial support to our UK and US Boards and Committees, ensuring transparency, integrity, and compliance across the Vitality Group. Your work will empower leaders to make decisions that drive innovation, champion wellbeing, and deliver on our mission to make people healthier and enhance and protect their lives.
Key Actions:
- Promote strong corporate governance practices and ensure compliance with UK standards and internal frameworks
- Implement new processes to continually improve the experience of departmental stakeholders
- Use AI to embolden the outputs of the team
- Prepare statutory governance reports and maintain accurate records
- Support Boards and committees by managing agendas, papers via Diligent, and producing timely, accurate minutes
- Maintain statutory registers and ensure all filing requirements are met
- Drafting governance framework documents and onboarding new directors
- Manage the conflicts of interest register and liaise with Chairs, Board members, and key stakeholders
- Collaborate with Risk and Compliance on regulatory and governance matters
- Accurately minute financial services/life insurance meetings and reflect operational and financial matters appropriately
What do you need to thrive?
- Extensive company secretarial experience gained from in-house and/or private practise roles
- Provision of board and committee support including minute taking
- Liaising and building relationships with directors and senior management
- Experience of company secretarial entity management and board meeting software, e.g. Entities and Diligent
- An ability to work to quick & dynamic timelines
- Manages own workload, ability to multi-task and prioritises effectively
- Flexible and adaptable through organisational growth
- Educated to Degree level or equivalent
- Part or fully CGI qualified
